SATS ASA: Mandatory notification of trade in connection with the share investment program

Reference is made to the stock exchange announcement published by SATS ASA (the "Company", OSE ticker "SATS") earlier today, on 14 February 2025, regarding the result of the share investment program for employees of the Company and its subsidiaries and members of the Company's board of directors (the "Share Investment Program").

Certain primary insiders of the Company have applied for, and been allocated, shares in the Share Investment Program. Parts of the investment made by 14 of the primary insiders in the Share Investment Program will be debt financed through a loan to be issued by the Company, subject to inter alia approval by the annual general meeting of the Company expected to be held on or about 28 April 2025. Furthermore, the allocation of shares to members of the board of directors is also subject to approval by said annual general meeting. See details below and in the attached forms.
 
- Mira Investment AS, a close associate of Sondre Gravir (CEO), has been allocated 128,514 shares in the Company in the Share Investment Program. Following this transaction, Gravir holds 1,326,237 shares in SATS ASA.

- Moneypenny Invest AS, a close associate of Cecilie Elde (CFO), has been allocated 299,866 shares in the Company in the Share Investment Program. Following this transaction, Elde holds 789,570 shares in SATS ASA.

- Gasellen Invest AS, a close associate of Ellen Marie Vanberg (Chief Product Officer), has been allocated 171,352 shares in the Company in the Share Investment Program. Following this transaction, Vanberg holds 179,226 shares in SATS ASA.

- Skogstua Invest AS, a close associate of Gaute Sandal (Chief Digital Officer), has been allocated 171,352 shares in the Company in the Share Investment Program. Following this transaction, Sandal holds 612,648 shares in SATS ASA, as well as a holding through SATS Management Invest.

- Canella II, a close associate of Torodd Gøystdal (Chief People & Operation Officer) has been allocated 85,676 shares in the Company in the Share Investment Program. Following this transaction, Gøystdal holds 823,789 shares in SATS ASA.

- Evert Holding, a close associate of Wenche Evertsen (Country Manager Norway), has been allocated 85,676 shares in the Company in the Share Investment Program. Following this transaction, Evertsen holds 370,930 shares in SATS ASA.

- Mia Lund Hanusek (Chief Marketing & Communication Officer) has been allocated 17,135 shares in the Company in the Share Investment Program. Following this transaction, Hanusek holds 17,135 shares in SATS ASA.

- Aleksi Virkkunen (Country Manager Finland) has been allocated 4,926 shares in the Company in the Share Investment Program. Following this transaction, Virkkunen holds 4,926 shares in SATS ASA.

- Thorbjørn Milling (Country Manager Denmark), has been allocated 3,429 shares in the Company in the Share Investment Program. Following this transaction, Milling holds 3,429 shares in SATS ASA.

- Funkybiz AS, a close associate of Hugo Lund Maurstad (Chairman of the Board), has been allocated 149,933 shares in the Company in the Share Investment. Following this transaction, Maurstad holds 5,149,933 shares in SATS ASA.

- Martin Tivéus (Board Member) has been allocated 16,141 shares in the Company in the Share Investment Program. Following this transaction, Tivéus holds 16,141 shares in SATS ASA.

- Ketal AS, a close associate of Maria Tallaksen (Board Member), has been allocated 21,419 shares in the Company in the Share Investment Program. Following this transaction, Tallaksen holds 21,419 shares in SATS ASA.

- Lisa Ã…berg (Board Member) has been allocated 17,991 shares in the Company in the Share Investment Program. Following this transaction, Ã…berg holds 17,991 shares in SATS ASA.

- Anita Gullstedt (Board Member) has been allocated 8,567 shares in the Company in the Share Investment Program. Following this transaction, Gullstedt holds 11,211 shares in SATS ASA.
 
SATS Management Invest, a management investment company established in 2015, will be liquidated within short, and certain primary insiders are reinvesting their holdings in SATS ASA through their participation in the Share Investment Program.
